Constitution.

The Company is limited by guarantee without capital share and is governed by its Memorandum and Articles of Association. It is registered as a company number 5952567. It is also registered as a charity number 1122358. The management of the Charity/Company is vested in the Trustees/Directors. There are 12 Trustees/Directors, all having been elected in September 2009 for 2 years. There has been one change during their term of office. Mr Waseem A Chowdhary a local solicitor replaced Mr Shahid Beg last year who had resigned due to ill health. After the Annual General Meeting this year, the Trust/Company shall elect 12 new Directors/Trustees. The retiring Directors shall be eligible to be re-elected.

Governance.

The Trustees/Directors are drawn from the Organisational and Individual Members. They are elected for 2 years. The admin assistant ensures that all Trustees /Directors particularly the new ones go through an induction process/course which comprises the charity/company aims & objects, constitution and the administrative procedures of the company. Each new Trustee/Director is given the most recent annual report, audited accounts and a copy of the charity commission leaflet “the essential trustee-what you need to know” The Trustees/Directors confirm that they have ensured that their activities remain within the bounds of the Charity Commission’s guidance on public benefit. All our activities benefit the public at large. No Trustees/Directors received any benefit from the Charity/Company unless allowed under Memorandum and Articles of Association.
